Representative Experience

• Drafted an arbitration statement of claim and defense, prepared witness evidence, prepared an arbitration checklist, timetable and filed all documentation.
• Advised a foreign client on exchange control issues in connection with  purchasing shares in Thailand and on remitting the money into Thailand. Prepared the application to the Bank of Thailand and advising the client on withholding issues.
• Represent a  life insurance company  on corporate matters and regulations, e.g. increase of capital requirements.  Advising the same client on security  law issues relating to selling shares to employees, including in connection with limits on foreign ownership.
• Due diligence on a Thai subsidiary of a global business being sold.
• Assisting a multinational client in the purchase of land for factories and retail outlets, mortgages and in listing on the Thai stock exchange.
• Acted for a multinational pharmaceutical company in the purchase of its Thai distributor. Advised on tax and labor issues and drafted documentation to transfer the pharmaceutical license as well as an employee handbook.
• Regularly draft meeting minutes such as annual general meetings for both public and private companies.
• Obtain work permits, visas.
• Advised a client on major corporate restructuring and tax and  accounting issues.
• Formed a local subsidiary of a multinational company and gave structuring advice in connection with this formation, including advice on limitation of foreign ownership.
